1. About Us
Novabyte Technology Solutions ("Novabyte", "we", "us", "our") is an IT services and digital transformation company based in Durban, KwaZulu-Natal, South Africa, providing IT support, software development, AI/automation, network infrastructure, SEO, and digital transformation services to small and medium enterprises and startups.
2. Acceptance of Terms
By engaging Novabyte for any service, submitting an enquiry, signing a quote/proposal, or using our website, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our services or website.
3. Services
Services are provided on a project basis, retainer/support-contract basis, or ad-hoc basis, as set out in the applicable quote, proposal, or Statement of Work ("SOW"). The specific scope, deliverables, timelines, and pricing for each engagement are governed by the signed quote or SOW, which takes precedence over these general Terms in the event of conflict.
4. Quotes and Pricing
- All prices are quoted in South African Rand (ZAR) and are valid for 30 days from the date of issue unless stated otherwise.
- Prices exclude VAT unless explicitly stated as VAT-inclusive.
- Novabyte reserves the right to adjust pricing for scope changes, additional requirements, or work outside the original agreed scope, which will be communicated and agreed before proceeding.
5. Deposits and Payment Terms
- Project-based work typically requires a deposit (commonly 50%) before work commences, with the balance due on completion or per milestone as specified in the SOW.
- Retainer/support clients are billed monthly in advance unless otherwise agreed.
- Invoices are payable within 7 days of issue unless a different term is agreed in writing.
- Late payment may result in suspension of services and/or interest charged at the maximum rate permitted by law.
6. Client Responsibilities
The client agrees to provide timely access, information, credentials, content, and feedback reasonably required for Novabyte to perform the services. Delays caused by the client may extend project timelines accordingly and will not constitute a breach by Novabyte.
7. Intellectual Property
Unless otherwise agreed in writing, ownership of custom deliverables (code, designs, documentation) transfers to the client upon full payment. Novabyte retains ownership of any pre-existing tools, frameworks, libraries, or reusable components used to deliver the work, and grants the client a licence to use these as part of the delivered solution. Third-party licensed software or services (e.g. hosting, APIs, plugins) remain subject to their own licence terms.
8. Confidentiality
Both parties agree to keep confidential information disclosed during the engagement private and not to disclose it to third parties, except as required to perform the services or by law.
9. Warranties and Limitation of Liability
Novabyte will perform services with reasonable skill and care. To the maximum extent permitted by law, Novabyte's total liability for any claim arising from the services is limited to the fees paid for the specific service giving rise to the claim. Novabyte is not liable for indirect, incidental, or consequential losses, including loss of profit, data, or business opportunity.
10. Third-Party Services
Where projects involve third-party platforms, hosting providers, APIs, or payment gateways (including PayFast), the client is subject to those providers' own terms and conditions, and Novabyte is not responsible for their availability, pricing changes, or policy changes.
11. Governing Law
These Terms are governed by the laws of the Republic of South Africa, including the Consumer Protection Act 68 of 2008 (where applicable) and the Electronic Communications and Transactions Act 25 of 2002. Disputes will first be addressed through good-faith negotiation before any legal proceedings.
12. Changes to These Terms
Novabyte may update these Terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.

1. Project-Based Engagements
Cancellation before work begins: If a client cancels after paying a deposit but before any work has commenced, the deposit is refundable less any costs already incurred by Novabyte (e.g. third-party licences purchased on the client's behalf).
Cancellation after work has commenced: Once work has commenced, deposits are non-refundable, as they cover time, planning, and resources already committed. The client will be invoiced for work completed to date, and any amount paid in excess of work completed will be refunded; any amount owing for work completed beyond the deposit will be payable by the client.
Mid-project cancellation: Either party may cancel a project with written notice (minimum 14 days, unless otherwise specified in the SOW). The client is liable for all work completed and costs incurred up to the cancellation date.
2. Retainer / Support Contracts
- Retainer agreements may be cancelled by either party with 30 days' written notice, unless a different notice period is specified in the signed agreement.
- Monthly retainer fees are non-refundable once the billing period has begun, as they reserve capacity and resources for the client regardless of usage.
- No refunds are provided for unused hours or services within a billing period unless otherwise agreed in the specific contract.
3. Digital Products / Software Licences
Where Novabyte sells or resells third-party software, licences, or subscriptions on behalf of a client, refunds are subject to the originating vendor's refund policy, not Novabyte's.
4. Refund Method and Timing
Approved refunds will be processed to the original payment method within 7–14 business days of approval.
5. Dissatisfaction with Deliverables
If a client is dissatisfied with delivered work, Novabyte will make reasonable efforts to address concerns through revisions within the scope originally agreed. Requests for work outside the original scope will be quoted separately and are not covered by this policy.
6. How to Request a Cancellation or Refund
To request a cancellation or refund, contact Novabyte at accounts@novabyte.co.za with your invoice/project reference. Requests will be reviewed and responded to within 5 business days.

1. Use of AI, Research Tools, and Third-Party Data
Novabyte Technology Solutions makes use of artificial intelligence tools, research platforms, and third-party data sources as part of delivering certain services, including but not limited to software development, automation, analytics, sentiment analysis, and digital transformation strategy. Where AI-assisted tools or third-party APIs/datasets are used in the development or delivery of a client solution, this will be disclosed to the client as part of the relevant proposal, SOW, or service description. Clients are encouraged to raise any questions about specific tools or data sources used in their engagement directly with Novabyte.
Outputs generated with the assistance of AI tools are reviewed by Novabyte before delivery, but Novabyte does not warrant that AI-assisted outputs are free from error, and clients remain responsible for independently verifying outputs used in regulated, safety-critical, or compliance-sensitive contexts.
2. Novabyte Research Partner Program
From time to time, Novabyte may invite individuals or businesses interested in early access, pilot programs, or collaborative product development to participate in the Novabyte Research Partner Program. Participation may involve providing feedback, use-case input, or ideas relating to Novabyte's products and services (including but not limited to DineIntel, Review Insight AI, NailOS, PulseAI, NovaCHat, and related tools).
3. Unsolicited Submissions and Ideas
By submitting any creative ideas, suggestions, feedback, feature requests, or other materials to Novabyte — whether through our website contact form, email, or in connection with the Research Partner Program — you acknowledge and agree that:
- Your submission is not made in confidence or trust, and no confidential or fiduciary relationship is intended or created between you and Novabyte Technology Solutions in any way;
- You have no expectation of review, compensation, or consideration of any type in exchange for your submission;
- Your submitted materials will be used to evaluate your participation in the Novabyte Research Partner Program and will become the property of Novabyte Technology Solutions;
- Participation in the Research Partner Program is subject to review and approval at Novabyte's sole and absolute discretion, and submission does not guarantee acceptance, engagement, or any form of partnership;
- You certify that your submission does not infringe upon the rights of any other person or entity, and that you have the right to make such submission.
4. No Obligation
Nothing in this disclaimer obligates Novabyte to use, respond to, credit, or compensate any party for ideas or materials submitted, whether or not they are ultimately used in any Novabyte product or service.
